Record why a decision was made, not just what was decided

Your systems record what happened: the invoice was issued, the price was changed, the order was approved. They almost never record why. The reasoning lives in a phone call, a chat message or a manager's memory, and it disappears. With AI agents taking part in decisions, that reasoning becomes one of the most valuable things a company can keep.

A rule is not a record

A rule says what should happen in general: renewals are capped at a 10% increase. A decision record says what happened in this case: a 20% increase was approved for this client, under the service-incident exception, signed off by the sales director, following the same decision made for a similar client last quarter.

Rules are necessary but not enough. Real operations run on exceptions, and exceptions are where judgment lives. An agent that knows only the rules will either refuse every exception or grant them blindly. An agent that can read past decisions, with their reasons, can propose the right exception and cite the precedent.

What to capture

For each decision: the decision itself in one line; the information used and the system each piece came from; the rule that applied; the exception taken, if any, and why; the person who approved it, by name; the earlier decisions it relied on; what was written back into which system; the time; and whether a person or the agent made the final call.

Nine fields. Most of them can be filled automatically by the system that routes the decision. The person approving adds the reason in a sentence.

Why it compounds

One decision record documents one case for audit. A thousand of them become a searchable history of how the company actually works: which exceptions are granted, by whom, under which conditions. Today's record is tomorrow's precedent. New staff learn from it, auditors check it, and agents use it to propose decisions that match how the company really behaves.

This does not require letting agents decide alone. Start with people making every call. The agent gathers the information, proposes, routes the approval, and the record is written whoever decides. The history grows either way.

Where to start

Pick three processes full of exceptions: discounts, credit terms, delivery disputes. Record the nine fields for every decision in them for three months. Then read the records. You will learn things about your own company that no report shows.
